1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Notora, Inc. ("Notora," "we," "our," or "us") governing your use of Notora's website, applications, and services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Services.
2. Changes to Terms
We may modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Services, or updating the "Last Updated" date at the beginning of these Terms. Your continued use of the Services following notification of changes will constitute your acceptance of such changes. If you do not agree with any modifications to these Terms, you must immediately stop using the Services.

4. Eligibility

You retain all rights in and to your User Content, and you grant us a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, modify, distribute, and display your User Content solely for the purposes of operating and improving our Services.
You are solely responsible for your User Content and the consequences of posting or publishing it. By posting User Content, you represent and warrant that you have all necessary rights to grant us the license described above and that your User Content does not violate these Terms, applicable law, or the rights of any third party.
7. Prohibited Conduct
You agree not to:
- Use the Services for any illegal purpose or in violation of any applicable law;
- Upload or share any content that infringes any intellectual property or other rights of any third party;
- Upload or share any content that is defamatory, obscene, pornographic, vulgar, offensive, or otherwise inappropriate;
- Interfere with or disrupt the Services or servers or networks connected to the Services;
- Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services;
- Use any robot, spider, or other automated device, process, or means to access the Services for any purpose;
- Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
- Collect or store personal information about other users without their express consent;
- Use the Services in any manner that could disable, overburden, damage, or impair the site.
8. Intellectual Property Rights
The Services and all content and materials available through the Services, including but not limited to text, graphics, logos, icons, images, audio clips, and software (collectively, "Notora Content"), are owned by or licensed to Notora and are protected by copyright, trademark, and other intellectual property laws. You may use the Services and Notora Content only as authorized by these Terms. No license or right is granted to you by implication or otherwise under any intellectual property rights owned or controlled by Notora or its licensors, except for the licenses and rights expressly granted in these Terms.
9. Feedback
If you provide us with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate.
10. Termination
We may terminate or suspend your access to and use of the Services, at our sole discretion, at any time and without notice to you. You may cancel your account at any time by contacting us. Upon termination, your right to use the Services will immediately cease. Sections 6, 8, 9, and 11-14 survive any termination of these Terms.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NOTORA DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
IN NO EVENT WILL NOTORA, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
13. Indemnification
You agree to defend, indemnify, and hold harmless Notora, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.
14. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to these Terms or the Services will be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in San Francisco County.
15. Entire Agreement
These Terms constitute the entire agreement between you and Notora regarding the Services and supersede all prior and contemporaneous written or oral agreements or understandings between you and Notora.
16. Waiver and Severability
No waiver by Notora of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Notora to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
